Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the New Kid mobile application and related services (collectively, the “Service”) operated by goodthanks co. (“Company,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

New Kid is currently in closed beta and is available by invitation only in Los Angeles, California. Features and functionality may change as we prepare for general availability.

1. Eligibility

You must be at least 21 years of age to use New Kid. By creating an account, you represent and warrant that:

  • You are 21 years of age or older.
  • You have a valid phone number capable of receiving SMS messages.
  • You are located in or near Los Angeles, California (or are otherwise authorized to participate in the closed beta).
  • You are not prohibited from using the Service under applicable law.

We reserve the right to verify your age and location and to terminate accounts that do not meet eligibility requirements.

2. Account Registration and Authentication

New Kid uses your phone number as your sole account identifier. To create an account, you must provide a valid phone number and verify it via SMS one-time passcode (OTP) delivered through Twilio. You agree to:

  • Provide a phone number that belongs to you.
  • Keep your account information accurate and up to date.
  • Not share access to your account with others.
  • Notify us immediately at hello@newkid.city if you believe your account has been compromised.

You are responsible for all activity that occurs under your account. We are not liable for any loss resulting from unauthorized use of your account.

3. SMS Communications

By providing your phone number and requesting authentication, you consent to receive SMS messages from New Kid containing one-time passcodes for account verification. Message and data rates may apply. We do not send promotional SMS messages. You may stop receiving authentication SMS by deleting your account.

4. Use of the Service

Permitted Use

The Service is provided for personal, non-commercial use to discover, save, and plan real-world experiences in Los Angeles. You may use the Service only as permitted by these Terms and applicable law.

Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to access any part of the Service you are not authorized to access.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Scrape, crawl, or data-mine the Service without our express written permission.
  • Use automated systems (bots, scripts) to access the Service.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Upload, transmit, or distribute any content that is harmful, offensive, or violates the rights of others.
  • Attempt to interfere with or disrupt the integrity or performance of the Service.
  • Create multiple accounts to circumvent restrictions or bans.

5. User Content

The Service may allow you to submit content such as saves, plan details, and taste preferences (“User Content”). By submitting User Content, you grant goodthanks co. a non-exclusive, royalty-free, worldwide license to use, store, display, and distribute your User Content solely to operate and improve the Service.

You represent that you own or have the necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable law. We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful to the Service or its users.

6. Venue Information and Recommendations

New Kid provides venue information and recommendations for discovery purposes. We make reasonable efforts to keep venue information accurate, but we do not guarantee the accuracy, completeness, or timeliness of any venue data (including hours, menus, availability, or pricing). Always verify venue details directly before visiting.

Venue recommendations are generated based on your taste profile and usage patterns within New Kid. Sponsored venue posts may appear in your feed and are always clearly labeled as “Sponsored.” Sponsorship status does not influence the taste-match algorithm or the order in which organic results are presented.

7. Third-Party Services and Affiliate Links

The Service may contain links to third-party platforms for booking and ticketing, including Resy, OpenTable, Ticketmaster, DICE, Tixr, and Eventbrite. When you click a booking link, you are directed to a third-party website or application. We may receive an affiliate commission if you complete a transaction on a third-party platform through a link from New Kid.

These affiliate relationships operate at the transaction-routing level only and do not influence which venues are surfaced or recommended. Your interactions with third-party platforms are governed by their own terms of service and privacy policies. We are not responsible for the products, services, or practices of any third-party platform.

8. Push Notifications

With your explicit opt-in consent, we may send you push notifications related to your activity within the Service (e.g., plan invitations, venue updates). You may withdraw consent and disable push notifications at any time through your device settings or within the app. Disabling notifications does not affect your ability to use the Service.

9. Intellectual Property

The Service and its content, features, and functionality — including but not limited to text, graphics, logos, illustrations, and software — are owned by goodthanks co. or its licensors and are protected by applicable intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

AS NEW KID IS IN CLOSED BETA, THE SERVICE MAY CONTAIN BUGS, EXPERIENCE DOWNTIME, OR UNDERGO SIGNIFICANT CHANGES WITHOUT NOTICE. YOUR USE OF THE SERVICE DURING BETA IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODTHANKS CO. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless goodthanks co. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

13. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. You may delete your account at any time through the app settings or by contacting us at hello@newkid.city. Upon termination, your right to use the Service immediately ceases.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising from or related to these Terms or the Service shall be resolved by binding arbitration in Los Angeles, California, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative proceeding. You waive your right to a jury trial.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the “Effective Date” at the top of this page and, where appropriate, through the app. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
